On September 17, 2019, Marriott Vacations Worldwide Corporation (“MVW”) issued a press release to announce that Marriott Ownership Resorts, Inc., its wholly owned subsidiary (the “Issuer”), priced the previously announced offering of $350 million aggregate principal amount of the Issuer’s 4.750% senior notes due 2028. The aggregate principal amount of the notes to be issued in the offering increased from $300 million to $350 million. A copy of the press release is attached to this Current Report as Exhibit 99.1 and is incorporated herein by reference.

Marriott Vacations Worldwide Announces Pricing of $350 Million of 4.750% Senior Notes
ORLANDO, Fla. September 17, 2019 Marriott Vacations Worldwide Corporation (NYSE: VAC) (MVW, we, us or our) today announced that its wholly owned subsidiary, Marriott Ownership Resorts, Inc. (the Issuer), priced an offering of $350 million aggregate principal amount of its senior notes due 2028 (the Notes) in a private placement. The aggregate principal amount of the Notes to be issued in the offering increased from $300 million to $350 million.
The Issuer intends to use the net proceeds from the Notes offering (i) to redeem all of the $139.9 million outstanding aggregate principal amount of 5.625% Senior Notes due 2023 issued by Interval Acquisition Corp., (ii) to redeem all of the $88.2 million outstanding aggregate principal amount of 5.625% Senior Notes due 2023 issued by us and ILG, LLC, (iii) to repay a portion of the outstanding borrowings under our $600.0 million revolving credit facility, (iv) to pay transaction expenses and fees in connection with each of the foregoing and (v) for general corporate purposes.
The Notes were offered and sold, and documents relating to the Notes will only be distributed, to (i) persons reasonably believed to be qualified institutional buyers within the meaning of Rule 144A under the Securities Act of 1933, as amended (the Securities Act), or (ii) persons outside the United States that are not U.S. persons within the meaning of Regulation S under the Securities Act and that are not acquiring the Notes for the account or benefit of a U.S. person.
The Notes may not be offered or sold in the United States or to any U.S. persons except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act. The Notes have not been registered under the Act or the securities laws of any other jurisdiction.
